Samuelz® Affiliates Terms and Conditions Agreement

This Affiliate Terms and Conditions Agreement (the "Agreement") becomes effective upon the Affiliate's acceptance of each specific service offer presented by Glöggl GmbH, operating under the service name Samuelz® (hereinafter referred to as "Samuelz"), a company registered in Germany with its principal place of business at Kirchstr. 10 b, 82362 Weilheim i. Ob., to the chauffeur service provider (hereinafter referred to as the "Affiliate").

WHEREAS, Samuelz is engaged in the business of providing high-quality ground transportation services through its brand, Samuelz®, and utilizes both company-owned vehicles and a network of franchisees or subcontractors to provide such services;

WHEREAS, the Affiliate, by accepting a service offer from Samuelz, agrees to provide chauffeur services under the terms and conditions set forth in this Agreement for each specific service accepted;

WHEREAS, both parties acknowledge that the acceptance of each service offer by the Affiliate constitutes an agreement to the terms and conditions outlined herein for that specific service;

NOW, THEREFORE, in consideration of the mutual promises, covenants, and agreements herein contained, the parties hereto agree as follows:

§1 Service Performance Standards

The Affiliate agrees to perform all services in accordance with the business values, brand promise, and company standards of Samuelz for each service accepted, which includes but is not limited to the following operational standards:

§2 Operational Standards

  1. Timely Dispatch Requirement: The Affiliate shall submit chauffeur and vehicle details by 3 PM the day before the service.
  2. Chauffeur Status Updates: The Affiliate is required to use the provided link for status updates 2 hours before and until the completion of the service.
  3. Wait Time: A 60-minute free wait time post-arrival is standard, with a suggestion of a 30-minute wait post-landing.
  4. Baggage Policy: One checked-in bag per passenger is allowed, with efforts to accommodate all luggage securely.
  5. Dress Code: Chauffeurs must wear dark suits, white shirts, dark ties, and shoes.
  6. Certifications: Only Samuelz Certified Drivers and Vehicles are to be assigned to ensure compliance and quality.
  7. GPS and Tracking: Accurate GPS tracking is to be maintained for service integrity.
  8. Punctuality: Chauffeurs are to aim for a 15-minute early arrival to provide peace of mind to passengers.

§3 Communication

The Affiliate agrees to proactively communicate any potential delays or issues directly with Samuelz dispatch for each service accepted.

§4 Compliance and Consequences

Adherence to the terms outlined in this Agreement is mandatory for each service accepted. Non-compliance may result in processing fees or account suspension.

§5 Certification Requirements

The Affiliate must meet the Samuelz Certified Chauffeur and Vehicle standards as detailed by Samuelz.

§6 Term and Termination

This Agreement is effective upon the Affiliate's acceptance of a service offer and applies to each specific service accepted. Either party may terminate the agreement with notice, subject to the terms herein.

§7 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Samuelz is headquartered, without regard to its conflict of laws principles.

§8 Service Acceptance

By accepting a service offer from Samuelz, the Affiliate agrees to the terms and conditions set forth in this Agreement for that specific service.
